01Acceptance of Terms
By accessing or using the Prathos AI website (the "Site") or any product, service, or software made available by Prathos AI ("Prathos," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Site or our services.
These Terms form a legally binding agreement between you (or the entity you represent) and Prathos AI. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
02Description of Services
Prathos AI provides AI-powered software products and consulting services, including but not limited to: hosted conversational AI agents (chatbots) embedded via JavaScript, workflow automation services built on third-party platforms (such as n8n), advisory and consulting engagements, and agency-style implementation services. We may add, modify, or remove features at any time, and we will provide reasonable notice for material changes affecting paid subscribers.
03Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use our services. You agree to provide accurate, complete information when creating an account and to keep that information current. You are responsible for all activity that occurs under your account, including the actions of any team members or agents you authorize.
You must safeguard your account credentials and notify us promptly at ryan@prathos.com of any unauthorized access.
04Acceptable Use
You agree not to use our services to:
- Violate any applicable law, regulation, or third-party right
- Send spam, phishing content, or unsolicited bulk communications
- Reverse-engineer, decompile, or attempt to extract source code or model weights from our services
- Use our services to build a competing product
- Submit content that is unlawful, defamatory, harassing, or infringes intellectual property rights
- Attempt to interfere with the integrity or performance of our infrastructure
We reserve the right to suspend or terminate access for violations.
05Subscription and Fees
Paid services are billed in advance on a monthly basis unless otherwise agreed in writing. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of your current billing period. Project-based engagements are governed by separate statements of work that may modify or supplement these Terms.
All fees are stated in US dollars and exclude applicable taxes, which are your responsibility.
06AI-Generated Output
Our services use third-party large language models (such as OpenAI's GPT family, Anthropic's Claude family, or open-source models) to generate responses. AI-generated output may contain errors, omissions, or fabricated information ("hallucinations"). You acknowledge that:
- You will not rely on AI-generated output as a substitute for professional advice (legal, medical, financial, or otherwise)
- You are responsible for reviewing and validating AI-generated output before relying on it or sharing it with third parties
- We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content

07Intellectual Property
The Site, our software, and our brand are owned by Prathos AI and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use our services for your business purposes during your subscription.
You retain ownership of content you provide to us (such as your knowledge base, training data, customer conversations). You grant us a license to use that content solely to provide and improve our services to you.
08Third-Party Services
Our services integrate with third-party platforms (including but not limited to OpenAI, Anthropic, Google, HubSpot, Cal.com, n8n, and others). Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
09Confidentiality
Both parties agree to maintain the confidentiality of any non-public business or technical information disclosed during the engagement, including pricing, methodologies, source code, customer data, and strategy documents. Confidentiality obligations survive termination of this agreement for a period of three (3) years.
10Disclaimers and Limitation of Liability
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRATHOS AI'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE.
11Indemnification
You agree to indemnify and hold Prathos AI harmless from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services in violation of these Terms, your content, or your violation of any third-party rights.
12Termination
Either party may terminate the engagement with thirty (30) days written notice, or immediately for material breach that remains uncured for fourteen (14) days after written notice. Upon termination, your access to our services will cease and we will return or destroy your data in accordance with our Privacy Policy and any data-handling addendum.
13Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved through good-faith negotiation; if unresolved within thirty (30) days, the parties agree to binding arbitration in Merced County, California, under the rules of the American Arbitration Association.
14Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to active subscribers at least thirty (30) days before taking effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
